12. Governing Law and Forum Choice.

These Terms and any associated actions will be regulated by the Canadian federal arbitration law, along with the laws of the Province of Ontario, without considering its conflict of laws provisions. Both you and Canadian Tamil Radio waive any objections to the jurisdiction and venue of these courts.

13.Dispute Resolution for Consumers.

The following terms in Section 13, “Dispute Resolution for Consumers,” apply only if you are an individual using the Canadian Tamil Radio Service and Content for personal use and not on behalf of a legal entity.

  • Mandatory Arbitration of Disputes. We both agree that any dispute, claim, or controversy arising out of or relating to these Terms of Service, including their breach, termination, enforcement, interpretation, or validity, or the use of the Canadian Tamil Radio Service or Content (collectively, “Disputes”), will be resolved exclusively through binding, individual arbitration and not as a class, representative, or consolidated action. However, if for any reason a Dispute goes to court instead of arbitration, both you and we waive any right to a jury trial.
  • Exceptions and Opt-out. There are limited exceptions to Section 13(a) above: (i) you may resolve a Dispute in small claims court if it qualifies; and (ii) we each retain the right to seek injunctive or other equitable relief from a court to prevent (or enjoin) the infringement or misappropriation of our intellectual property rights. Additionally, you can opt out of arbitration entirely and litigate any Dispute if you notify us in writing by email at contact@ctr24.com within thirty (30) days of first agreeing to these Terms of Service.
  • Starting Arbitration. To initiate arbitration, you must send a letter requesting arbitration and describing the Dispute to us at our email at contact@ctr24.com. If we initiate arbitration, we will send a letter to you at the email or street address you provided.
  • Conducting Arbitration and Arbitration Rules. The arbitration process will be conducted in accordance with the rules and procedures outlined by the ADR Institute of Canada (“ADRIC”). These rules ensure a fair and efficient resolution of disputes.
    • Selection of Arbitrator: The arbitrator will be selected based on the procedures outlined in the ADRIC rules. If the parties cannot agree on an arbitrator, the ADRIC will appoint one. The selected arbitrator will be impartial and neutral.
    • Arbitration Procedure: The arbitration process will allow both parties the opportunity to present evidence, witnesses, and arguments in support of their positions. The arbitrator will consider all relevant information before making a decision.
    • Location and Format: Arbitration proceedings may be conducted in writing, telephonically, via video conference, or in-person, depending on the preferences and circumstances of the parties involved. The location of the arbitration will be determined based on the convenience of the parties and the availability of facilities.
    • Confidentiality: All arbitration proceedings, including hearings, submissions, and awards, will be treated as confidential. The parties agree to maintain the confidentiality of the arbitration process and not disclose any information related to the dispute to third parties, except as required by law.
    • Binding Decision: The decision of the arbitrator will be final and binding on both parties. Judgment upon the arbitration award may be entered in any court having jurisdiction.
    • Costs: The costs of arbitration, including filing fees, administrative expenses, and arbitrator fees, will be governed by the ADRIC rules. However, if the dispute involves an amount less than $10,000 CAD and the arbitrator determines the claim to be non frivolous, the fees will be covered by the party requesting arbitration.
  • By adhering to these arbitration rules and procedures, both parties can expect a fair, efficient, and confidential resolution of their dispute.
  • Impact of Changes on Arbitration: In the event of modifications to this Section 13 following your initial acceptance of these Terms of Service (or any subsequent alterations), notwithstanding the stipulations in Section 9, “Modification of the Canadian Tamil Radio Service or Terms of Service,” you reserve the right to decline such changes by notifying us in writing (including via email to contact@ctr24.com) within 30 days of the modification’s effective date. By rejecting any alteration, you acknowledge your agreement to arbitrate any dispute between yourself and Canadian Tamil Radio based on the terms of this Section 13 as they stood at the time of your initial acceptance of these Terms of Service (or any subsequent revisions).
